Section 1: Standard Terms and Conditions
1.1 Definition of terms
'us' - Indicates PJR Micro LTD or any associated company which is owned directly by us which supplies services.
This excludes any affiliated company which is not owned by PJR Micro LTD.
'Services'- Any service supplied to the client which the client pays PJR Micro LTD to supply or make available for their use.
'Systems' - Any combination of electronic components which make up the significant part of an operational computer system.
'components'- individual components supplied to a client whether integrated into a system by PJR Micro LTD or the client.
'Customer data'- Any information electronically stored on a computer system whether for personal or business usage. This also includes any software which the customer has installed whether freeware, shareware, adware or commercial software.
1.2 Supply of services, systems or components
1.2.1 PJR Micro LTD will provide services, systems or components to a client in accordance with the provisions of the agreement that exists between us and the client.
1.2.2 PJR Micro LTD will endeavor to provide services, systems or components to a client in a timely manner or in the client's requested timeframe but cannot guarantee to do so and no liability will be accepted for failure to do so.
1.2.3 PJR Micro LTD will take reasonable care to supply services, systems or components to a client subject to full payment for the same as agreed.
1.2.4 PJR Micro LTD may at our discretion refuse to supply services or products to any customer. If we refuse supply we will advise the customer of the reasons for this refusal.
1.3 Payment for services, systems or components
1.3.1 All agreements will commence at the time that an invoice has been raised or services made available for the clients usage.
1.4 Variation
1.4.1 PJR Micro LTD reserves the right to make a variation to any technical specification of any services as long as this is not detrimental to the original contract unless as specified in clause 1.4.2
1.4.2 PJR Micro LTD reserves the right to vary these terms and conditions in order to comply with any legal requirement or court order.
1.5 Indemnity
1.5.1 Client shall indemnify PJR Micro LTD against all third party claims,costs,expenses and liabilities that PJR Micro LTD may incur as a result of any breach of our obligations or misuse of any services under any agreement, unless the breach is a direct result of negligent or wrongful acts by directors or employees of PJR Micro LTD.
1.6 Liability
1.6.1 Client will not be entitled to any refund for interruptions to services or non availability of services.
1.6.2 PJR Micro LTD will not be liable to the Client or any third party under this Agreement in contract, tort or otherwise for any direct or indirect loss of profit, business, contracts, revenue, time, goodwill or loss of or harm to any data or other content or for any other indirect or consequential loss.
1.6.3 PJR Micro LTD will not be liable where clients contract for supply of services, components or systems by third parties, whether or not client was introduced or recommended to the third party.
1.6.4. Nothing in the terms attempts to limit liability which is expressly provided to the client in english law.
1.7 Force Majuere
1.7.1 Neither PJR Micro LTD or the client shall be liable for any delay in performing or failure to perform any of their obligations under the agreement, provided that such delay or failure results from any circumstances beyond their reasonable control, commonly referred to as a force majuere event, Provides the force majuere event does not result from negligence of fault of either party and the failing party informs the other party within 48 hours by any acceptable medium for such notifications. Each party shall reasonably endeavor to minimize the effects of any event of force majeure.
1.8 Rights of third parties
1.8.1 Unless expressly provided, any person who is not a party to the original agreement has no rights to enforce any provision this agreement. This does not exclude any such rights that third parties have under english legislation in force.
1.9 Waiver
1.9.1 Failure or delay of either party to exercise any rights available to them under these terms do not exclude them from exercising such rights at a later date.
1.10 Severability
1.10.1 Should any of these terms be held by any competent court or legal authority to be unenforceable or invalid then such terms will be deemed,(without prejudice to the remaining terms and conditions) to have no affect, although all parties should use reasonable endeavors to ensure that it is replaced with a valid provision as close as possible to the intended provision of the unenforceable or invalid term.
1.11 Legal Jurisdiction
1.11.1 The construction, validity, and performance of these Terms and Conditions shall be governed by English law, and the parties submit to the exclusive jurisdiction of the English courts for the resolution of any dispute between them.
1.12 Health and Safety
1.12.1 PJR Micro LTD or our contractors will use all reasonable endeavors to ensure that all work is completed with close consideration and regards to health and safety.
1.12.2 PJR Micro LTD and its contractors reserve the right to not complete or postpone work in an environment that we reasonably believe to present a health and safety risk, to either themselves or to other persons.
Section 2: Supply of systems or components
2.1 Systems or components
2.1.1 PJR Micro LTD will use all reasonable endeavors to supply systems or components as close as practically possible to clients requested specifications.
2.1.2 PJR Micro LTD will use all reasonable endeavors to supply systems or components on or as close as reasonably possible to the clients requested delivery/installation date, subject to availability of stock from component suppliers.
2.2 Clients Obligations
2.2.1 Client agrees to use any components or systems within the required parameters and only for the uses as defined by the manufacturer of systems or individual components.
2.2.2 Client is obligated to ensure that they have taken sufficient steps to ensure that they have a backup of any programs or data contained on any storage medium returned for warranty purposes, whether as a discrete component or as part of a system. PJR Micro LTD will use all reasonable endeavors to limit loss of such data but cannot be held liable for any such loss however caused.
2.3 Warranties
2.3.1 All Systems or components supplied as new to the client are warranted against defect in normal usage for a period of 12 months or manufacturers guarantee whichever is the greater.
2.3.2 All Systems or components supplied as used or ex-demonstrator to the client are warranted against defect in normal usage for a period of 30 Days, unless a longer period is explicitly notified on the clients invoice.
2.3.3 All Systems or components supplied as sold as seen or untested to the client are deemed to be sold as scrap or for parts value only and no warranty is given unless explicitly notified on the clients invoice.
2.3.4 PJR Micro LTD will use all reasonable endeavors to repair any components or systems which are deemed in our judgment to be faulty within the warranty period, however where repair of such components or system is not financially viable, or it is not reasonably viable to source replacement components then at the discretion of PJR Micro LTD, we may instead return the purchase price of the systems or component, or offer an alternative system or component which may or may not be at a cost to the client.
2.3.5 PJR Micro LTD will re-install base operating system if necessary and other software at it's discretion, provided that the source media is made available for such re-installation.
2.4 Warranty Exclusions
2.4.1 Breach by a client of 2.2.1 above will render the remaining period of any warranty, on used or ex-demonstrator systems or components invalid, Warranty of new components or systems will be at the discretion of the manufacturer of the system or component.
2.4.2 'Over clocking' of any component beyond manufacturer specification may cause premature failure of components and such failure will not be covered by warranty.
2.4.3 'Flashing' of any bios with incorrect or 'unofficial' firmware may cause premature failure of components and such failure will not be covered by warranty.
2.4.4 Warranty only applies to hardware devices. No warranty is given or implied for software or data which is defective, corrupt or for any loss of such data or software however caused. Support or warranty for any software products should be sought from the software manufacturer.
2.4.5 Installation by client of components which cause detrimental effect or early failure of components or systems covered by warranty will render such warranty invalid.
Section 3: Repairs
3.1 Confidentiality
3.1.1 PJR Micro LTD will use all reasonable endeavors to ensure that confidentiality of customer data is maintained, within the terms of the data protection act.
3.2 Legal Compliance
3.2.1 PJR Micro LTD are obligated to comply with any order from a competent court or legal authority to surrender customer data upon request. Compliance with such an order may also prohibit PJR Micro LTD from advising a client that such an order has been served. We are also obligated to advise the legal authorities of any illegal material discovered during normal repair procedures, where such material is deemed to have caused psychological or physical harm to any person under the age of 16 years old.
3.3 Customer data
3.3.1 PJR Micro LTD will use all reasonable endeavors to preserve customer data and software but cannot be held liable for loss of any such data or software however caused.
3.4 Warranty
All Equipment carries a 30 day warranty on original repair. Unless otherwise specified new components or systems carry a 12 month return to base guarantee, Used
components or systems carry a 1 month guarantee.
3.5 Collection
All Equipment must be collected within 3 months of completion date. Any customer equipment not collected within 3 months will be disposed of to recover cost of repairs.
Section 4: Consultancy
4.1 PJR Micro LTD will not be liable for any advise or recommendations given if services are then sourced from third parties as we have no control over the ability or inability of third party companies to provide such services.

Section 6: ISP Services
6.1 Suppliers
6.1.1 PJR Micro LTD use third party suppliers to offer ISP services to customers and reserve the right to change suppliers for cost or reliability reasons.
6.2 Domain registration
6.2.1 We will endeavor to register any available domain name requested by customer as early as practically possible. We will not be liable for failure to register any such domain name.
6.2.2 All domain name registrations will be at all times, subject to the terms and conditions of the relevant naming authority or registration agent. All such terms and conditions are hereby included into these terms and conditions. Terms and conditions currently in force may be viewed at the following url's:

6.2.6 All domain names will be registered directly to the customer and not to PJR Micro LTD. For domain maintenance reasons administration email address will be admin@pjrmicro.com
6.2.7 It is a client's responsibility to ensure that they have a right to register any specific domain name and that it does not infringe any intellectual property rights of any third party, including but not limited to trade marks registered or otherwise used by any third party and the Client shall indemnify and keep PJR Micro LTD indemnified in respect of any loss, damages, costs or other expenses arising out of or in connection with any breach by the Client of this Clause.
6.2.8 The Client acknowledges that PJR Micro LTD shall have the right to cancel, disconnect, or transfer the Domain Name at any time upon receipt of a court order or arbitration award requiring such cancellation, suspension, or transfer. A client agrees to pay any such costs incurred by PJR Micro LTD associated with any such cancellation, suspension or transfer.
6.3 Domain Transfer
6.3.1 Domain name transfers to another registrar are currently free of charge although PJR Micro LTD reserve the right to make a charge for this service in future.
6.4 Hosting Services
6.4.1 PJR Micro LTD can supply hosting facilities subject to the terms and conditions of the relevant hosting company.
6.4.2 Specifically our hosting service providers do not allow hosting of any adult web sites, online gaming websites or warez sites.
6.5 Clients obligations
6.5.1 Unsolicited advertising emails, whether commercially orientated or informational, are strictly prohibited. The Client may send advertising material only to addresses that have specifically requested it. It is a requirement of any such mailing lists to have an opt-in/opt-out option.
6.5.2 PJR Micro LTD will provide access to the Client’s web space on a hosting server for uploading of the Client's third party designed web sites. PJR Micro LTD will provide assistance to the Client in so much as completing the uploading of any such web site. The Client acknowledges that because there are so many design packages available on the market, and the numerous methods of web design, PJR Micro LTD does not guarantee any web site will function correctly when uploaded to our hosting provider’s server. PJR Micro LTD will make any reasonable efforts to assist the Client in remedying these instances, the Client acknowledges that PJR Micro LTD will in no way be responsible for providing a remedy to fix any web site unless such web site is written in house by PJR Micro LTD
6.5.3 PJR Micro LTD reserve the right to cancel, suspend or deny services to any clients who publish content, whether via email or in supplied hosting space, which is detrimental to ourselves or any third party who may register a complaint with us.
6.6 Availability Of Service
6.6.1 PJR Micro LTD will endeavor to maximize availability of email, ftp and web site services although client acknowledges that there is no service level agreement in place.
6.6.2 PJR Micro LTD will not be liable for any loss however caused resulting from temporary unavailability of services.
6.7 Indemnity
6.7.1 Client shall indemnify PJR Micro LTD against all third party claims,costs,expenses and liabilities that PJR Micro LTD may incur as a result of any content of a client's web space.
6.8 Payment
6.8.1 Services will be provided upon payment in advance for services provided.
6.8.2 For contract customers except for customers with a separate maintenance contract PJR Micro LTD reserve the right to terminate the services to the Customer forthwith in the event of any default of payment. Failure to pay within 7 days of invoice will result in the suspension of service to the customer. There is a set-up charge of £50 to reinstate the services to the Customer on each occasion that the service needs to be reinstated.
6.8.3 Electronic or online invoices will be deemed to have been delivered on the day of sending. It is the clients responsibility to keep their contact details and email addresses up-to-date on the online Control Panel. Invoices that are raised manually, and posted, are deemed to have arrived on the second day after posting.
6.9 Rights of cancellation
6.9.1 A client has to right to cancel any domain name/hosting services at any time although client acknowledges that no refund can be given for any unused period of time.
Section 7:Search Engineering
7.1 PJR Micro LTD will not promote any web site which we feel is not suitable for a general audience. Specifically we will not promote web sites that :-
7.2 PJR Micro LTD provide no guarantee as to listing positions attained in any particular search engine. We will use all reasonable endeavors to attain a reasonable position within the search engines for a particular search term.
7.3 Our search engineers will analyze your web site and provide suggestions as to changes which we believe are required to enhance your web site search engine position for a particular search term. It is a customer's responsibility to make such changes although we may at our discretion provide assistance with any such changes.
7.4 If a customer refuses to make the suggested changes then PJR Micro reserve the right to cancel any search engineering contract in place. No refund will be given in this case as the customers actions provide for a breach of such contract.
Section 8: Web site Terms
Terms of use for PJR Micro LTD web sites found at http://www.pjrmicro.com, http://www.pjrmicro.co.uk, http://www.1stoptechshop.co.uk or any sub domain of the aforementioned web site addresses
8.1 The copyright and all other rights (including, without limitation, all intellectual property rights) in the material contained on this web site are owned by PJR Micro LTD or are included with the permission of the owner of such rights. As a visitor to this web site, you may not copy, adapt or distribute any of the content of this web site without PJR Micro LTD permission, except as permitted under applicable law.
8.2 Linking to individual pages is acceptable on condition that link is directly to a page and not to specific page content.
8.3 PJR Micro LTD and any logo displayed may be registered to PJR Micro LTD or to a third party and used with their permission.
